Bonvanta Terms of Use

Effective date: July 11, 2026

These Terms of Use ("Terms") form a binding agreement between Ukrainian Projects, L.L.C., a Florida limited liability company doing business as Bonvanta ("Bonvanta," "we," "us," or "our"), and the person or entity that accesses or uses the Bonvanta websites, dashboards, scanner, digital loyalty cards, subscription services, communications tools, integrations, or related services (collectively, the "Service").

By creating an account, starting a trial, selecting a paid plan, joining or using a loyalty card, or otherwise using the Service, you agree to these Terms. If you use the Service for a company or other organization, you represent that you have authority to bind that organization.

1. Definitions

"Business Customer" means a business, organization, sole proprietor, or other person that creates or operates a loyalty program through Bonvanta.

"Business Account" means the account used by a Business Customer and its authorized staff.

"End User" means an individual who joins or uses a digital loyalty card, receives stamps, points, vouchers, rewards, or communications from a Business Customer.

"Consumer" means an individual acting mainly for personal, family, or household purposes, rather than for business purposes.

"Business Content" means logos, names, images, text, offers, rewards, customer lists, consent records, campaign content, and other materials submitted or configured by a Business Customer.

"Subscription" means a paid monthly or annual Bonvanta plan.

2. Eligibility and authority

You must be at least 18 years old to create a Business Account, purchase a Subscription, or accept these Terms for a Business Customer.

End Users must be at least 16 years old, or the minimum age required by applicable law. The Service is not directed to children under 13. A person who is not legally able to enter into a contract may use the Service only through a parent, guardian, or other authorized representative where permitted by law.

You must provide accurate, current, and complete account, business, billing, tax, and contact information and keep it updated.

3. Accounts and security

You are responsible for maintaining the confidentiality of login credentials and for activity under your account, including activity by employees, contractors, agencies, and other authorized users.

You must use reasonable security practices, promptly remove access for people who are no longer authorized, and notify us at support@bonvanta.com if you suspect unauthorized access, credential theft, or another security incident.

We may require identity, business, payment, or account verification before enabling certain features or processing certain requests.

4. The Service and technology provider

Bonvanta provides tools for creating and managing digital loyalty cards, stamps, rewards, vouchers, Apple Wallet and Google Wallet passes, scanner workflows, customer communications, reporting, and related loyalty features.

The underlying loyalty platform is provided by PayForSay s.r.o., operator of the 7stamp platform, located at Dolezalova 3424/15C, 821 04 Bratislava - Ruzinov, Slovakia. PayForSay acts as a technology provider and processor or subprocessor where applicable, and may act as an independent controller for its own security, anti-abuse, platform administration, and legal compliance.

Features may depend on third-party services such as Apple Wallet, Google Wallet, Stripe, email delivery providers, hosting providers, or integrations. Those services may change, become unavailable, or be governed by separate terms.

5. Free plan and usage limits

Bonvanta may offer a Free Forever plan at no charge. At launch, the Free Forever plan includes up to 100 card operations per month, up to 100 emails per month, and unlimited wallet push notifications, subject to technical, fair-use, anti-abuse, and platform limits.

A "card operation" may include card issuance, stamp, voucher, reward, redemption, or another loyalty event counted by the Service. Current limits and included features are shown on the pricing page or in the dashboard and control if they differ from this summary.

We may change free-plan features or limits with reasonable notice. We may restrict or suspend free accounts that are inactive, abusive, fraudulent, or create excessive technical or security risk.

6. Growth trial

Eligible Business Customers may receive one 14-day trial of Growth features per business account. No credit card is required for the trial.

The trial does not automatically convert to a paid Subscription and no automatic charge is made at the end of the trial. Unless a paid plan is selected, the account automatically returns to the Free Forever plan and becomes subject to Free Forever limits.

We may deny, shorten, or end a trial if we reasonably believe multiple trials were created for the same business, information is inaccurate, or the trial is being misused.

7. Paid plans, pricing, and taxes

At launch, the Growth plan is offered at USD 35 per month or USD 350 per year per location, staff login, package, or other unit identified at checkout. The exact price, billing unit, included features, currency, and taxes are shown before purchase.

We may introduce other plans or change prices for future billing periods. A price change will not apply retroactively and will be communicated before it affects a renewal where required by law.

Prices do not include taxes unless stated otherwise. You are responsible for applicable sales tax, VAT, GST, withholding, or similar charges, except taxes based on our net income. We may calculate, collect, and remit taxes where required.

8. Automatic renewal and payment authorization

Paid monthly and annual Subscriptions automatically renew until cancelled. Monthly plans renew each month. Annual plans renew each year. By selecting a paid plan and submitting payment details, you expressly authorize Bonvanta and Stripe to charge the payment method on file for the initial term and each renewal term at the disclosed price, plus applicable taxes.

Before purchase, the checkout will disclose the price, billing frequency, automatic-renewal terms, and how to cancel. We will provide an order confirmation or receipt by email.

Where required by law, we will send an advance renewal reminder. For qualifying Florida consumer service contracts with a term of 12 months or more, the reminder will be sent within the legally required period before the renewal deadline.

If a payment fails, we may retry the charge, ask you to update the payment method, limit paid features, move the account to a free plan, or suspend the account after reasonable notice.

9. Cancellation

You may cancel a Subscription at any time through the billing portal or billing settings made available in the Service. You may also request cancellation by emailing support@bonvanta.com from the account email address.

Cancellation stops future renewals. Unless applicable law or the Refund Policy provides otherwise, paid access continues until the end of the current billing period and no prorated refund is issued for the unused portion.

Cancelling a Subscription does not automatically delete the account or its data. Account deletion must be requested separately by emailing support@bonvanta.com.

10. Payment processing

Payments are processed by Stripe and its affiliates. Stripe may collect and process payment credentials, billing details, transaction information, fraud signals, and other information under its own terms and privacy policy.

Bonvanta generally receives payment status, transaction identifiers, card brand, expiration information, and the last four digits of the payment method. Bonvanta does not store complete payment card numbers or security codes.

11. Refunds and consumer withdrawal rights

Refunds and billing corrections are governed by the Bonvanta Refund Policy, which is incorporated into these Terms.

Consumers in the European Economic Area, United Kingdom, or another jurisdiction may have a statutory cooling-off or withdrawal right. If you request immediate access to a paid digital service during a statutory withdrawal period, you request that performance begin immediately. If you later withdraw, a proportionate charge for service already provided may apply where permitted by law. Mandatory consumer rights are not waived by these Terms.

12. Business Customer responsibilities

Each Business Customer is the operator of its own loyalty program and is solely responsible for its products and services, customer relationship, loyalty rules, reward availability, expiry dates, redemption conditions, offers, taxes, refunds for merchant purchases, and compliance with applicable law.

Each Business Customer must publish accurate customer-facing loyalty rules and privacy information, obtain and document valid marketing consent where required, honor opt-outs, and provide a lawful way for End Users to exercise privacy rights.

A Business Customer may collect only data that is reasonably necessary for its loyalty program and must not require date of birth, location, phone number, or another optional field unless it has a valid purpose and lawful basis.

Business Customers must ensure that content, offers, messages, and rewards are accurate, lawful, non-deceptive, and not discriminatory.

13. Marketing communications

Where communication features are available, Business Customers may send email, wallet notifications, SMS, WhatsApp messages, or other supported communications. Marketing consent must be separate from acceptance of these Terms or a privacy notice where required by law.

Business Customers are responsible for obtaining prior consent where required, retaining proof of consent, identifying the sender, including legally required disclosures and physical address information, providing an easy opt-out method, and promptly honoring opt-outs.

Business Customers must comply with laws and platform rules that apply to their messages, including CAN-SPAM, the Telephone Consumer Protection Act, applicable state laws, GDPR and ePrivacy rules, UK PECR, and WhatsApp or other provider policies where applicable.

Bonvanta may block, throttle, review, or suspend communications that appear unlawful, deceptive, abusive, or likely to damage sender reputation or platform security.

14. End User loyalty programs

Bonvanta provides technology to Business Customers. Unless Bonvanta expressly states otherwise, Bonvanta is not the seller of goods or services offered by a Business Customer and is not responsible for a Business Customer's rewards, refusals, closures, product quality, customer service, or failure to honor an offer.

Questions about a particular loyalty program, reward, customer purchase, or End User privacy request should normally be directed to the Business Customer operating that program.

Stamps, points, vouchers, and rewards have no cash value unless the Business Customer's published rules expressly say otherwise. They may be subject to expiry, fraud controls, limits, and other program rules disclosed by the Business Customer.

15. Data protection and Data Processing Addendum

Our processing of personal information is described in the Bonvanta Privacy Policy.

For End User loyalty-program data, the Business Customer generally acts as controller or business, Bonvanta acts as processor or service provider, and PayForSay s.r.o. acts as a subprocessor or technology provider. The Bonvanta Data Processing Addendum applies where data-protection law requires a controller-processor agreement and is incorporated into these Terms.

16. Business Content and license

You retain ownership of Business Content. You grant Bonvanta, PayForSay, and their service providers a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, format, and use Business Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and enforce these Terms.

You represent that you have all rights and permissions needed for Business Content and for any personal data you upload or process through the Service.

We may remove or restrict Business Content that we reasonably believe violates law, third-party rights, these Terms, or platform policies.

17. Acceptable use

You may not use the Service to engage in fraud, spam, harassment, discrimination, deceptive marketing, unlawful surveillance, unauthorized data collection, infringement, malware distribution, or any illegal activity.

You may not attempt to bypass usage limits, generate fake stamps or redemptions, manipulate rewards, access another account without authorization, probe or disrupt system security, reverse engineer protected parts of the Service, scrape the Service in a harmful manner, or resell access unless expressly authorized.

You may not upload sensitive personal information, health information, government identifiers, financial account credentials, precise geolocation, or information about children unless the feature is expressly designed for it and you have a valid legal basis and our written approval where required.

18. Intellectual property

Bonvanta and its licensors retain all rights in the Service, software, interfaces, documentation, templates, designs, trademarks, databases, and technology, excluding Business Content.

These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the Service during the applicable account or Subscription term. No source code, ownership interest, or implied license is transferred.

You may provide feedback. We may use feedback without restriction or payment, provided we do not identify you publicly without permission.

19. Third-party services and integrations

The Service may link to or interoperate with Apple, Google, Stripe, messaging providers, payment networks, websites, and integrations controlled by third parties. We do not control those services and are not responsible for their availability, security, content, or actions.

You are responsible for reviewing and complying with third-party terms. Changes by Apple, Google, Stripe, or another provider may affect features, pass compatibility, payments, delivery, or availability.

20. Service availability and changes

We aim to provide a reliable Service but do not guarantee uninterrupted, error-free, or permanent availability. Maintenance, security events, internet outages, provider failures, legal restrictions, or technical changes may interrupt the Service.

We may modify, add, limit, replace, or discontinue features. If a material change substantially reduces a paid feature during a current paid term, we will use reasonable efforts to provide notice and an appropriate remedy where required by law.

Unless a separate written service-level agreement applies, no service-level commitment or uptime guarantee is provided.

21. Suspension and termination

We may suspend, restrict, or terminate an account for non-payment, fraud, spam, unlawful activity, security risk, abuse, violation of these Terms, excessive system misuse, or conduct that may harm End Users, Bonvanta, PayForSay, or third parties.

Where appropriate, we may provide notice and an opportunity to correct the issue. We may act immediately when reasonably necessary to prevent harm, comply with law, protect data, or preserve platform integrity.

A Business Customer may export available customer and loyalty data from the dashboard before cancellation or deletion. After account cancellation, we may retain account and associated customer data for up to 12 months for reactivation, recovery, disputes, security, and legal compliance, unless earlier deletion is requested and legally permitted. After that period, data will be deleted or anonymized, subject to backups and legal retention obligations.

22. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." BONVANTA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

BONVANTA DOES NOT GUARANTEE THAT A LOYALTY PROGRAM WILL INCREASE SALES, RETENTION, REVENUE, OR CUSTOMER ENGAGEMENT, OR THAT EVERY DEVICE, WALLET, EMAIL PROVIDER, OR INTEGRATION WILL SUPPORT EVERY FEATURE.

Nothing in these Terms excludes warranties, guarantees, or remedies that cannot lawfully be excluded for Consumers.

23. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BONVANTA AND ITS OFFICERS, MEMBERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BONVANTA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID TO BONVANTA BY THE CLAIMANT DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR A FREE ACCOUNT, THE TOTAL LIMIT IS USD 100.

These limits do not apply to liability that cannot be limited by law, including where applicable liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory Consumer rights.

24. Business indemnity

If you use the Service as a Business Customer, you will defend, indemnify, and hold harmless Bonvanta and its officers, members, employees, affiliates, contractors, and licensors from third-party claims, losses, fines, penalties, damages, chargebacks, refunds, costs, and reasonable legal fees arising from your loyalty program, Business Content, products or services, marketing campaigns, consent practices, customer disputes, violation of law, or breach of these Terms.

This section does not apply to Consumers to the extent prohibited by applicable law.

25. Governing law and courts

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to mandatory Consumer rights, the state and federal courts located in Broward County, Florida have exclusive jurisdiction over disputes arising from these Terms or the Service.

If you are a Consumer, this choice of law and forum does not deprive you of mandatory protections or the right to bring a claim in another forum where applicable law does not permit those rights to be waived.

26. Changes to these Terms

We may update these Terms to reflect changes in the Service, pricing, law, security, providers, or business practices. The updated Terms will show a new effective date.

We will provide reasonable notice of material changes where required. Changes to paid Subscription terms will apply prospectively. Continued use after the effective date constitutes acceptance to the extent permitted by law.

27. General terms

If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.

These Terms, the Privacy Policy, Refund Policy, Cookie Policy, Data Processing Addendum, pricing disclosures, and any order form are the entire agreement concerning the Service, unless a separate signed agreement states otherwise.
